IN  CONSIDERATION of Patrick Hussey, Vincent Egan and its assignees (Producer) disclosing to you the visitor and your assignees, contractors or employees (Viewer) confidential information relating to screen sector infrastructure development and training provisionally entitled  Māui Virtual Production (MVP) ,the Viewer acknowledges that:

1. The  Producer  is  the  owner  of  the  copyright  and  all  other  rights  of  ownership  in and to the components of technology, and pipelines detailed in the following pages and any  other  written,  visual or  audio material regarding MVP and  all confidential  information disclosed  by The  Producer  with  regards  to  the Material and all notes, suggestions, advice, renders, versions, digital manipulation and copies as  made by  the Viewer with  respect  to  the  Material (Confidential  Information) is and automatically on their creation will become the confidential information of the Producer.

2. The Confidential Information:

a) may be used for the purpose of assessing the Material and the MVP and advising and supplying changes to the Producer thereon;

b) must be kept confidential; and

c) may only be disclosed by the Viewer to such persons who have a need to know (and only  to  the  extent  that  each  has  a  need  to  know)  and  who  are  aware  and  expressly agree that the Confidential Information must be kept confidential.

3. The obligations of confidentiality do not extend to information that:

a) was rightfully in the possession of the Viewer before the date of this Agreement;

b) is  or  becomes  public  knowledge  (otherwise  than  as  a  result  of  a  breach  of  this Agreement).

4. The Viewer:

a) must  return or  provide Confidential  information  to the  Producer  immediately on demand;

b) acknowledges  that  this Agreement  does  not  create  or  transfer  any  interest  in  the Confidential Information or any right in any intellectual property (other than the limited right to use the Confidential Information given under paragraph 2(a)).

This Agreement constitutes the full and complete agreement between the parties with respect to the subject matter hereof and may not be waived or varied except in writing.
